Steps to start a business in UAE.

An investor can start own business on the UAE mainland. Starting a business in ordinary ways requires a series of steps, procedures and approvals from the Economic Department and other government entities. This page states such steps and the investor’s journey to start a business in the UAE mainland.

Starting a business regularly

Starting a business in ordinary ways involves a series of steps, including:

  • 1 Identifying a business activity
  • 2 Selecting an appropriate legal form
  • 3 Registering the trade name
  • 4 Applying for an initial approval
  • 5 Drafting a Memorandum of Association and local service agent agreement
  • 6 Select a business location
  • 7 Get additional government approvals
  • 8 Submit documents and pay fees

Identify business activity

Business activity is the basis for selecting the legal form and type of license, whether commercial, industrial or professional, etc. There are different types of licenses. They are: industrial, commercial, professional, tourism, agricultural and occupational.

Select the legal form

The legal form depends mainly on the business requirements. Moreover, the legal form is basis for identifying applicable laws and regulations. In the UAE, an investor can select one of these legal forms:

  • Limited liability company (LLC)
  • Sole Proprietorship L.L.C.
  • Public joint stock company (PJSC)
  • Private joint stock company (PrJSC)
  • Civil company
  • Local company branch
  • GCC company branch
  • Foreign company branch
  • Free zone company branch
  • Sole establishment
  • Holding companies

Register the trade name

A trade name distinguishes one business from another. It also reflects the nature and the form of the business. An investor can apply for the trade name through the economic department in each emirate, through its website or mobile application.

Initial approval

An initial approval means that the UAE Government has no objection for the business to be established in the country. It also allows the investor to proceed with the next steps in setting up a business. It does not, however, grant the authority to run or practice the business activity.

Foreign investors must obtain the approval of the General Directorate of Residency and Foreigners’ Affairs before getting the initial approval.

Some activities require additional approvals from government entities related to that particular business before applying for the initial approval. These include activities related to legal affairs, security affairs and financial securities and commodities.

MOA and LSA

Depending on the legal form of a business, a completed and signed Memorandum of association (MoA) or a local service agent agreement (LSA) of the business is required. The memorandum of association is required for the following business legal forms:

  • Limited liability company (LLC)
  • Sole Proprietorship L.L.C.
  • Public joint stock company (PJSC)
  • Private joint stock company (PrJSC)

Trade Name registration

PRO Service

The local department of economic development registers the trade name, Trade name certificates will be valid for one month. Within the period we have to complete the licensing procedure.

Trade license new and renew

PRO Service

Economic Development Authority advises all the licenses to renew on time annually and always hold a valid license to ensure continuity of legal practice and to maintain its good standing and comply with the zone’s laws and regulations.

Immigration Establishment Card

PRO Service

A company must apply for an establishment immigration card or a new immigration computer card. This card files your company with the Ministry. Issued for one year/two years/ three years, it allows a company to recruit staff from abroad and apply for foreign investors, partners and employees’ visas.

eChannel Service

Put simply, the e-channel UAE system is an online portal making it easy to make any immigration related applications online. The system makes the whole process faster and less complex.

Labour Establishment Card

All companies in mainland must apply for a Labour establishment card .This card files your company with the Ministry. Issued for one time and no expiry, it allows a company to recruit staff from abroad and get the work permit.

E-Signature Card

E-signature card system was implemented by Ministry of Labour in UAE to minimize the procedures when dealing with the companies. The e-signature system comes as a replacement to the Signature Authorization Card scheme, which required the Authorized Signatory or the company owner's signature for each transaction with the Ministry.

Visa Processing

Work Permit

The relationship between employers and employees is governed by Ministry of Human Resources & Emiratization. The approval of the Ministry of Labor is a prerequisite for the employment of foreigners. A work permit is issued by the Ministry for two years, subject to renewal for similar periods.

Working Hours

Working hours are eight hours a day or 48 hours a week. However. for persons or employees in trade, hotels, and restaurants, the daily working hours may be increased to nine hours. For overtime work, the employee is entitled to an amount equivalent to the wage paid for ordinary working hours. plus 25 percent. Overtime may not exceed two hours per day unless necessary. An employee is entitled to an annual leave of 30 days, maternity leave and sick leave are not part of the annual leave.

Labour Contract (Employment Contract)

Labour Contract is an Agreement between Employee and Employer. It is made only for the employees of Firms under the Ministry of Labour. Free Zone employees will have internal contract with their concerned company. It is subject to Free Zone rules and regulations. Normally, the Contract period is 2 years under Ministry of Labour. Labour Contract to be signed by both parties and submitted to Ministry of Labour within 60 days from the date of Entry. Application status can be tracked through https://www.mohre,gov.aeien/services/enquiry-services.aspx by entering MB number which is printed on the submission receipt. Profession and Salary in Labour Contract can be amended once you issue labour card and contact from Ministry of Labour. Labour Contract and Labor Card to be renewed on expiry of validity, for further Two years. Renewal can be done if the validity of Labour Card is less than Two months.

Probation Period

A worker may be engaged on probation for a period not exceeding six months, during which his service may be terminated by the employer without notice or severance pay; provided that a worker shall not be engaged on probation more than once in the service of any one employer. Where a worker successfully completes his period of probation and remains in his job, the said period shall be reckoned towards his period of service.

Employment Visa

Employment Visa or Entry Permit is issued by the Immigration Department to a foreign national who wishes to work for a company in the UAE upon the approval of the Ministry of Labour. It allows the holder to enter the UAE for employment and is valid for two months from the date of issue. When the employee has entered the country on the basis of the employment visa, the sponsoring company will arrange to complete the formalities of his Medical, Emirates ID, Labour Contract submission and residence approval within 60 days.

Birth Certificate, Death Certificate, Degree Certificate, Course Certificate, and other educational certificates.

A Memorandum of association is a document required by the official authority when forming a company. it is mandatory to draft and notarize an MOA when forming a limited liability company. Memorandum of association to be notarized before the notary public, should be in Arabic.  In case the foreigner is of any nationality other than Arab countries or partner does not understand Arabic, then the it should be drafted in Arabic and English and translated legally.

A power of attorney is a document whereby a person or a company authorizes another person to perform some tasks on his behalf. it can be attested by the notary public in the United Arab Emirates. For example, when a company owner wishes to authorize someone to manage or represent his company to approaching government departments or signing on his behalf, then this requires a power of attorney from this company to that person. If one of the parties to the transaction is not Arabic, the power of attorney must be drafted in Arabic and English and stamped by a legal translator.
